Tripsy Terms of Service

These Tripsy Terms of Service are a binding agreement between you and Tripsy Ad-Hoc Technologies Inc. ("Tripsy") regarding your use of the Tripsy applications and platform in Canada. This agreement also benefits Tripsy's affiliates.
Important Note: This agreement includes terms about handling disputes with Tripsy, which may require you to submit claims through binding arbitration instead of in court. Drivers and applicants can opt out of arbitration for specific claims.
Using the Tripsy Platform confirms that you understand and accept these terms. If you disagree, you cannot use the platform. If using the platform in another country, you agree to that country's terms.
While using the Tripsy Platform, you must follow our Community Guidelines.
1. Overview
The Tripsy Platform connects Riders seeking transportation with Drivers. Both Riders and Drivers are referred to as "Users." Services provided by Drivers are called "Rideshare Services," while other services from Tripsy are called "Tripsy Services." Users authorize Tripsy to match them based on various factors, and a separate agreement is made between Drivers and Riders when a ride is accepted.
In some areas, Riders can rent vehicles or use other services through the Tripsy Platform, which Tripsy or third parties may provide. Prior approval of Tripsy is needed to use any exercise any such options.
Using Tripsy Services may involve additional agreements specific to certain services. You cannot use those services if you don't agree to those. If there's a conflict between this agreement and any additional agreements, this agreement takes precedence.
2. Changes to the Agreement
Tripsy can modify this agreement, and you accept these changes by continuing to use the platform. You can't use the platform if you don't agree to changes.
3. Eligibility
Only individuals who can legally enter this agreement can use the Tripsy Platform. You cannot share your account. Users must create a single account, and Tripsy can deactivate extra accounts.
By becoming a User, you confirm you are of legal age in your region. If you create an account for a minor (16 or 17), you must ensure their use is safe and supervised.
By doing so, you accept all responsibility for the minor's actions on the platform and confirm you have the authority to act on behalf of the minor.
4. Charges
As a User, you acknowledge that using Rideshare Services, Tripsy Services, or Third-Party Services may incur charges ("Charges") for you and/or your organization. These Charges can include Fares (defined below), fees, tolls, surcharges, and taxes, as detailed on your market's Tripsy Cities page, along with any tips you choose to give to the Driver. Tripsy can modify pricing by updating the relevant terms or quoting prices at the time of your ride request. You are responsible for reviewing pricing information and for all Charges incurred under your User account, regardless of your awareness. All Charges are in Canadian dollars unless stated otherwise.
Rideshare Service Fares ("Fares")
Quoted Fares: When you request a ride, you'll receive a Fare quote that may change until confirmed. If your destination changes significantly, or if you misuse the platform, Tripsy may cancel the quoted Fare and charge a variable Fare instead.
Variable Fares: These consist of a base charge plus additional charges based on time and distance. Minimum fares may apply for short rides. Tripsy uses GPS data to calculate distance, but accuracy isn't guaranteed. Total ride costs may also include Rideshare Service Fees and other Charges.
Rideshare Service Fees and Other Charges
- Service Fee: A fee may be charged for each ride, as detailed on the Tripsy booking page.
- Priority Pickup and Wait & Save: You can choose faster or slower pickup options for different Fares.
- Cancellation Fee: A cancellation fee may apply if you cancel after requesting a ride or if you fail to show up.
- Damage Fee: If you damage a Driver's vehicle, you may incur a fee up to CAD 2500.
- Abuse Fee: If credible reports of misuse are received, you may incur a fee up to CAD 2500.
- Tolls: Tolls may apply, with details available on the Tripsy Cities page.
- Other Charges: Additional fees may include airport fees, local fees, and surcharges. Taxes will also be collected as required.
General Charge Policies
- Facilitation of Charges: All Charges are processed through a third-party payment processor. Cash payments are generally not permitted. If your primary payment method is unavailable, Tripsy may charge other methods linked to your account.
- No Refunds: All Charges are non-refundable, except as required by law.
- Coupons: Coupons may be applied to certain Charges and are valid only on the Tripsy Platform. They cannot be exchanged for cash.
- Supplemental Charges: Additional Charges related to Tripsy Services may be outlined in Supplemental Agreements.
- Third-Party Charges: If you purchase Third-Party Services, you authorize charging your payment method according to the pricing set by Tripsy or the third-party provider.
- Payment Card Authorization: Tripsy may seek authorization of your payment method to verify coverage for Charges.
5. Tripsy Communications
By entering into this Agreement or using the Tripsy Platform, you agree to receive communications from us, our affiliates, Third-Party Services providers, or Drivers. These communications may occur through any phone numbers you provide and via email, text messages, calls, and push notifications. You understand that automatic dialing systems may generate texts, calls, or prerecorded messages. Communications from Third-Party Services and Drivers will be limited to operational matters. Tripsy may send updates related to your User account, the Tripsy Platform, marketing promotions, and industry news. If you change or deactivate your phone number, you agree to update your User account information to avoid miscommunication. Standard text messaging charges from your carrier will apply.
If you want to opt out of promotional emails, you can unsubscribe by following the options in the promotional email. You acknowledge that consent to receive promotional messages is not a condition for using the Tripsy Platform or its services. If you wish to opt out of all texts or calls from Tripsy, including operational messages, call the support; however, this may affect your use of the platform. 6. Your Information
Your Information refers to any data you provide, publish, or send through the Tripsy Platform, including profile information and feedback to other Users. You consent to using your Information to create a User account that enables you to access the Tripsy Platform and participate in Rideshare Services. Tripsy's Privacy Policy governs our collection and use of personal information. You are solely responsible for your Information and interactions with other Users, as we act only as a conduit for your online postings. You agree to maintain accurate, current, and complete Information, allowing us and the public to rely on its accuracy.
To enable Tripsy to use your Information for the purposes outlined in the Privacy Policy and this Agreement, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, copy, display, modify, and distribute your information across any media, subject to your rights under applicable privacy laws. You waive any non-assignable rights, including moral rights. Tripsy does not claim ownership of your Information; you retain full ownership and associated intellectual property rights, subject to the rights granted to us in this Agreement.
7. Promotions, Referrals, and Loyalty Programs
Tripsy may offer promotions, referral programs, and loyalty programs at its discretion, with various features for Users or prospective Users. We reserve the right to withhold or deduct credits or benefits obtained through these programs if we believe they were redeemed in error, fraudulently, illegally, or in violation of program terms or this Agreement. Tripsy may terminate, modify, or cancel any promotions or programs at any time without notice.
Through the referral program, Tripsy may provide incentives for you to refer friends and family to become new Users of the Tripsy Platform in your country. Your participation in the Referral Program is subject to this Agreement and additional rules specific to the program.
8. Restricted Activities
When using the Tripsy Platform, Tripsy Services, Third-Party Services, and participating in Rideshare Services, you agree not to:
- Impersonate any individual or entity.
- Stalk, threaten, or harass anyone, or carry weapons.
- Break any laws, regulations, or permits.
- Disrupt the Tripsy Platform or connected networks.
- Post fraudulent, abusive, obscene, or illegal content.
- Infringe on third-party rights, including intellectual property.
- Transmit malicious code or programs designed to harm the Tripsy Platform.
- Forge identifiers to disguise the origin of information.
- Frame or mirror any part of the Tripsy Platform without written consent.
- Modify, adapt, or reverse-engineer any part of the Tripsy Platform.
- Rent, sell, or redistribute access to the Tripsy Platform.
- Use automated tools to scrape or gather data from the Tripsy Platform.
- Link to other websites directly or indirectly.
- Transfer or sell your User account or password.
- Use false information or misrepresent your identity.
- Discriminate or harass based on protected characteristics.
- Violate any rules if participating in the Referral Program.
- Commercialize Rideshare Services or other Tripsy Services without a direct agreement.
- Abuse or misuse the Rideshare Services.
- Violate Tripsy's policies on harassment and misconduct.
- Circumvent any measures to enforce this Agreement.
- Encourage others to engage in these restricted activities.
If you suspect unauthorized use of your User account or any security breach, you agree to notify us immediately.
9. Driver Representations, Warranties, and Agreements
As a Driver providing Rideshare Services on the Tripsy Platform, you represent and agree that:
- You have a valid driver's license and are fit to operate a vehicle, with all necessary approvals.
- You own or have the right to use the vehicle for Rideshare Services, which must be in good condition and meet safety standards.
- You will drive safely and not engage in reckless behavior or allow unauthorized passengers.
- You will only provide Rideshare Services in the vehicle approved by Tripsy and will not exceed seating limits.
- You will not operate as a public carrier, accept street hails, or demand cash payments outside the terms of this Agreement.
- You will not attempt to defraud Tripsy or Riders; suspected fraudulent activity may result in withheld payments.
- You will not discriminate against Riders with disabilities and will comply with relevant policies for service animals and mobility devices.
- You agree that Tripsy may access your criminal and driving records, and you will authorize necessary access.
- You will maintain valid liability insurance for the vehicle used for Rideshare Services and provide proof upon request.
- You will pay all applicable taxes related to your Rideshare Services.
- You will comply with reasonable requests for information related to Rider complaints or law enforcement inquiries.
- You have a working dashcam able to record both inside & outside the vehicle. Failing to do so will nullify your rights against any claims or any services offered by Tripsy.
10. Intellectual Property
You acknowledge that all intellectual property rights related to the Tripsy Platform are owned exclusively by Tripsy. This includes database rights, inventions, patents, copyrights, trademarks, and other related rights worldwide. Any questions, suggestions, or feedback you provide ("Submissions") will be considered non-confidential and will become the exclusive property of Tripsy. Tripsy will have the unrestricted right to use and share these Submissions for any purpose without compensation to you.
The Tripsy name, logo, and other marks are registered trademarks or trade dress of Tripsy. If you provide Rideshare Services as a Driver, Tripsy grants you a limited, revocable license to use the Tripsy Marks solely on approved materials like stickers or decals provided by Tripsy. This license cannot be transferred, and you must comply with Tripsy's Brand Guidelines. You may identify yourself as a Driver but cannot misrepresent yourself as Tripsy or suggest you are providing Tripsy Services when you are not.
You agree not to:
- Create materials that use the Tripsy Marks without prior written approval.
- Use the Tripsy Marks in a way that could harm their validity or distinctiveness.
- Challenge Tripsy's ownership of the Marks.
- Apply for trademark registration of any Tripsy Marks or similar names.
- Use the Marks in connection with any illegal activities.
You also agree not to rent, sell, or redistribute any Tripsy-related items or produce counterfeit goods. Violating these terms may lead to immediate termination of your license and possible legal action.
If you create materials that infringe on Tripsy's intellectual property, you agree that Tripsy owns all rights to those materials. You will assign any rights you have in such materials to Tripsy and waive any non-assignable rights.
Tripsy respects the intellectual property of others and expects Users to do the same. If you believe your rights are being infringed upon on the Tripsy Platform, please refer to our Copyright Policy for information on filing a complaint.
11. Disclaimers
The following disclaimers are made on behalf of Tripsy and its affiliates, officers, and employees.
- Tripsy does not provide transportation services and is not a transportation carrier. It is up to the Driver to decide whether to offer a ride, and the Rider to accept it. Tripsy cannot guarantee that rides will be completed or ensure the quality or safety of transportation through the Rideshare Services. Any safety features provided do not indicate any employment or agency relationship with Users.
- The Tripsy Platform is offered "as is" without any warranties. We do not guarantee specific results from using the Platform, Services, or Rideshare Services, including availability in certain areas or at specific times. We may limit access to the Platform based on various factors. To the fullest extent allowed by law, we disclaim implied warranties of any kind.
- We cannot guarantee that your use of the Tripsy Platform or Services will be accurate, reliable, or free from errors. You are responsible for your conduct while using the Platform.
- Tripsy cannot verify the identities of all Drivers or Riders. Please exercise caution, especially when dealing with individuals under 18 or those misrepresenting themselves. Communicate directly with Drivers or Riders before arranging transportation.
- Tripsy is not liable for the actions of Users, nor for personal belongings left in vehicles. You accept these risks by using the Platform and acknowledge that Tripsy is not responsible for User actions.
- You are responsible for your User account and Tripsy disclaims liability for unauthorized use.
- Others could access your personal information shared on the Platform. Tripsy is not responsible for how your data is used by other Users. Please be cautious about the information you share.
- Opinions or content about Tripsy from third parties are not endorsed by us and we are not responsible for any consequences from relying on such information. We may monitor and remove content that violates this Agreement or is offensive.
- Location data from the Tripsy Platform is for general use and should not be relied upon for precise navigation. Tripsy does not guarantee the accuracy of location data.
- We recommend using a data plan with high limits when accessing the Platform. Tripsy is not responsible for any data charges incurred.
- For Drivers using the Tripsy Platform through the Apple App Store, this Agreement is between you and Tripsy. Apple is not responsible for the Platform, but is a third-party beneficiary of this Agreement.
- As a Driver, you may use Google Maps or Apple Maps. By doing so, you agree that Google & Apple Inc. may collect your location data, which may be shared with Tripsy to improve services.
- Tripsy is not liable for delays or failures in fulfilling obligations due to events beyond its control, such as natural disasters or government actions. Affected service dates will be postponed, and parties should reschedule after the issue is resolved as soon as possible.
12. Indemnity
You agree to indemnify and defend Tripsy and its affiliates, employees, and agents (collectively, the "Indemnified Parties") against any claims, losses, or expenses (including legal fees) arising from your use of the Tripsy Platform, Services, and participation in Rideshare Services. This includes claims related to:
- Breaches of this Agreement.
- Violations of laws or third-party rights.
- Any allegations that your submitted materials infringe on third-party intellectual property rights.
- Your ownership or operation of a vehicle for Rideshare Services.
- Any other activities connected to Tripsy.
This indemnity applies regardless of negligence and cannot be settled without Tripsy's prior written consent.
13. Limitation of Liability
In no event will Tripsy or its affiliates be liable to you for any incidental, special, or indirect damages (including data loss or service interruptions) related to the Tripsy Platform, Services, or this Agreement, even if advised of the possibility of such damages. Tripsy is not responsible for any transportation or third-party services arranged through the Platform. If applicable law restricts these limitations, you may have additional rights.
14. Term and Termination
This Agreement is effective upon your acceptance and can be terminated:
- By you, with seven days' written notice; or
- By either party for material breaches without notice. Tripsy may also terminate or deactivate your account immediately if you become ineligible to use the Platform or provide Rideshare Services, fall below performance standards, or if necessary to protect the safety of the community. You will receive notice and an opportunity to address any issues before permanent termination.
Certain sections of this Agreement will survive its termination.
15. Dispute Resolution and Arbitration Agreement
Note: Some jurisdictions may not enforce agreements requiring binding arbitration or waiving class action rights. If you are in such a jurisdiction, these arbitration requirements may not apply to you, and you might have the right to pursue court proceedings individually or as part of a class.
Agreement to Binding Arbitration:
You and Tripsy agree to waive your rights to resolve disputes in court and instead resolve any disputes through arbitration. This Arbitration Agreement remains in effect after this Agreement ends. Arbitration will be conducted on an individual basis; class arbitrations and class actions are not permitted. This agreement covers all disputes between you and Tripsy, including claims related to this Agreement, the Tripsy Platform, services, account issues, payments, and promotions. The arbitrator will decide any disputes about whether a claim can be arbitrated.
Prohibition of Class Actions:
You and Tripsy agree that any claims in arbitration must be brought individually, not as part of a class, collective, or representative action. An arbitrator cannot consider or resolve any claims on a class basis. Disputes regarding the Class Action Waiver must be resolved in a civil court, not by an arbitrator. If a class action is determined unenforceable, those claims must be litigated in court, but the Class Action Waiver will still apply to all other claims in arbitration.
16. Confidentiality
You agree not to use any proprietary or confidential information related to Tripsy's business, including User details shared with you (such as names, pick-up locations, and contact information), for your own purposes or disclose it to third parties. You will not store any Confidential Information outside the Tripsy Platform and will take reasonable steps to protect its confidentiality. You are not liable for Confidential Information that is public, was known to you before disclosure, is disclosed with Tripsy's approval, or is required to be disclosed by law, provided you notify Tripsy promptly.
17. Relationship with Tripsy
As a Driver on the Tripsy Platform, you recognize that your relationship with Tripsy is that of independent contractors. This is not an employment agreement, and nothing in this Agreement creates an employer-employee or partnership relationship. You cannot bind Tripsy in any contracts or agreements. Tripsy does not control how you provide Rideshare Services; you have the freedom to choose when and how to use the Tripsy Platform and can accept or decline ride requests. You are not required to display permanent Tripsy branding on your vehicle or wear specific uniforms but instead be mindful and courteous to riders. You may also engage in other business activities without restriction.
18. Third-Party Services
The Tripsy Platform may connect Users with third-party services, such as public transportation, vehicle rentals, or roadside assistance ("Third-Party Services"). This Agreement governs your use of the Tripsy Platform in relation to these services.
You understand that Third-Party Services are subject to the terms of the third-party provider, and Tripsy is not responsible for these services or their providers. If there's a conflict between Third-Party Terms and this Agreement, the terms of this Agreement will take precedence, except for claims solely against the third-party provider.
19. General
This Agreement is governed by the laws of Ontario. If any part of this Agreement is found invalid, the remaining provisions will stay in effect. Tripsy may assign this Agreement at any time, but you cannot assign it without written approval from Tripsy. Notices to Tripsy must be sent to the specified address, while you will receive notices via the Tripsy Platform or the contact information you provided during registration. Headings in this Agreement are for reference only and do not affect interpretation.
If any part of this Agreement is deemed illegal or unenforceable, that provision will be severed, and the rest of the Agreement will remain effective. This Agreement represents the complete understanding between you and Tripsy and supersedes any prior agreements.
